These Terms and Conditions govern your use of this website and any engagement with Nilaya's corporate financial literacy services. By accessing this website or submitting an enquiry, you agree to these terms. Please read them before proceeding.

1. Definitions

  • "Nilaya", "we", "us", "our" — refers to Nilaya, Suite 10-03, Menara Zurich, No. 15 Jalan Dato Abdullah Tahir, 80300 Johor Bahru, Johor, Malaysia.
  • "Services" — refers to the corporate financial literacy programmes offered by Nilaya, including the Workplace Money Literacy Session, Staff Financial Literacy Course and Complete Corporate Wellbeing Curriculum.
  • "User", "you" — refers to any individual or organisation accessing this website or engaging with our Services.
  • "Content" — refers to all text, materials, handouts, digital resources and information produced or distributed by Nilaya in connection with its Services.
  • "Agreement" — refers to these Terms and Conditions together with any written programme agreement or quote accepted by the client.

2. Acceptance of Terms

By accessing this website or engaging with our Services, you confirm that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into agreements on behalf of yourself or your organisation
  • You have read and agree to be bound by these Terms and Conditions

If you are accessing this website or enquiring on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

3. Service Description

Nilaya provides workplace financial literacy programmes designed as general financial education for employees of Malaysian organisations. Services include:

  • Single facilitated sessions delivered on-site or online
  • Multi-session structured courses for teams
  • Comprehensive curriculum rollouts for organisations

Important: All Nilaya programmes are designed and delivered as general financial education only. Nothing in any Nilaya programme, session, material or communication constitutes regulated financial advice, investment guidance or any service falling under the Financial Services Act 2013 or the Islamic Financial Services Act 2013 (Malaysia). Participants and client organisations should seek professional licensed advisors for regulated financial guidance.

4. User Responsibilities

When using this website or engaging with our Services, you agree to:

  • Provide accurate and complete information in contact forms and programme briefings
  • Notify us promptly of any changes that affect programme delivery
  • Use this website and our Content for lawful purposes only
  • Not reproduce, copy, sell or redistribute Nilaya Content without written permission
  • Not misrepresent the nature of Nilaya's Services to employees or third parties

Client organisations are responsible for ensuring that their employees are informed about the general education nature of Nilaya programmes and that participation is voluntary.

5. Intellectual Property

All Content created by Nilaya — including session materials, handouts, workbooks, digital resources and programme structures — remains the intellectual property of Nilaya.

  • Client organisations are granted a limited, non-exclusive, non-transferable licence to use participant handouts and materials for the internal purposes of the contracted programme
  • Materials may not be reproduced for commercial use, shared with external parties, or used in other programmes without written permission from Nilaya
  • Nilaya retains all rights to programme methodologies, session structures and original content

6. Payment Terms

  • All prices are quoted and invoiced in Malaysian Ringgit (MYR)
  • A written quote is provided before any programme commitment. Acceptance of the quote constitutes agreement to the stated price and scope
  • Payment terms are specified in the programme agreement or invoice
  • Accepted payment methods include bank transfer to the account details provided on invoices
  • Cancellations made less than five business days before a scheduled session may be subject to a cancellation fee as specified in the programme agreement
  • Nilaya does not offer refunds for completed programme sessions unless there has been a material failure in delivery attributable to Nilaya

7. Programme Delivery Terms

  • Programme scope, format, schedule and deliverables are confirmed in the written programme agreement or quote
  • Changes to agreed scope or schedule must be requested in writing and are subject to availability and may affect pricing
  • Nilaya is not liable for delays caused by circumstances outside our reasonable control, including but not limited to venue unavailability, force majeure events or failure by the client to provide required briefing information
  • HR summary reports are delivered within five business days of the final session, unless otherwise agreed in writing

8. Disclaimers

Nilaya's Services are provided in good faith as general financial education. The following disclaimers apply:

  • Nilaya does not warrant that programme Content will be suitable for every individual participant's financial circumstances
  • No specific financial outcomes are stated or implied as a result of participation in any Nilaya programme
  • Content reflects general information relevant to Malaysian workplace financial literacy at the time of delivery; it may not account for every individual's situation
  • This website and its content are provided on an "as is" basis without warranty of any kind

9. Limitation of Liability

To the maximum extent permitted by Malaysian law:

  • Nilaya's liability in connection with any programme or this website shall not exceed the fees paid by the client for the relevant programme
  • Nilaya is not liable for indirect, consequential, incidental or special damages, including loss of profit, loss of data or business interruption
  • Nilaya is not liable for actions taken or not taken by programme participants based on programme Content

10. Indemnification

You agree to indemnify and hold harmless Nilaya, its directors, facilitators and staff from any claims, losses, damages or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of programme Content, or any claim by a third party arising from your use of Nilaya's Services.

11. Termination

Either party may terminate a programme engagement by providing written notice as specified in the programme agreement. In the event of termination:

  • Fees for completed sessions are payable in full
  • Fees for sessions not yet delivered will be subject to the cancellation provisions in the programme agreement
  • Nilaya may terminate engagement immediately if a client breaches these Terms or acts in a way that jeopardises the safety or wellbeing of programme participants
  • Sections 4, 5, 8, 9, 10 and 13 survive termination

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. The courts of Johor Bahru, Johor have non-exclusive jurisdiction over any dispute arising from these Terms or Nilaya's Services.

In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation within 30 days before initiating formal proceedings. Mediation may be considered before litigation if both parties agree.

13. General Provisions

  • Entire agreement: These Terms, together with any written programme agreement, constitute the entire agreement between the parties regarding the subject matter
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent
  • Notices: Notices should be sent to the contact details provided in Section 16 of these Terms

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last Updated" date on this page. Continued use of this website or engagement with Nilaya's Services following an update constitutes acceptance of the revised Terms.
